Terms of Use
These terms of use (the "Terms of Use") are a legal agreement between you and ESET, spol. s r.o., having its registered office at Einsteinova 24, 85101 Bratislava, Slovak Republic, registered in the Commercial Register administered by Bratislava I District Court, Section Sro, Entry No 3586/B, Business Registration Number: 31333532 (hereinafter referred to as "ESET", "we", "us" or "our") setting forth, among other things, the terms and conditions for (i) your access, download, installation and use of ESET Password Manager Application (hereinafter referred to as "The Application") and (ii) provision of the Services provided by ESET in connection with The Application (hereinafter referred to as "The Services").
Amendments
ESET may modify these Terms of Use from time to time at its sole discretion. We will send you an email notification with a link to the Terms of Use as amended or we will notify you on the amended version of The Terms of Use directly in the Application. If you do not agree to, or cannot comply with the Terms of Use as amended, you shall cease to use The Application and The Services and uninstall them. You will be deemed to have accepted the Terms of Use as amended if you continue to use the Application and The Services after the new amended version becomes effective.

Your Agreement for the access and use of The Application and The Services.
Downloading or using The Application and The Services, confirms your acceptance of and agreement with the provisions of the Terms of Use without any reservations, modifications, additions or deletions. If you do not agree to any provisions contained in these Terms of Use, you are not authorized to access or use The Application and The Services. You may be denied access to The Application and The Services, with or without notice to you, if you do not comply with any provision of these Terms of Use.
1. Registration & Scope of Use
We restrict access to the Services and the download of The Application on hardware devices (computer or mobile device/smartphone) to registered users only.
You agree to provide truthful and accurate account information, including but not limited to a username, master password, name and valid email address (collectively, your "Account Information"). You may not be required to provide some or all of the Account Information if you register through home.eset.com portal.
You agree to update your Account Information as necessary to keep it accurate.
Services Accessible via Application
If you decide to use the Services you will have access to the following features:
When The Application is open it will automatically detect passwords while you browse and encrypt them on your device with your master password in order to save them to The Application.
When The Application is open it will automatically fill in, on the web pages you are visiting, the username and password of the online accounts you have stored in The Application for that web page and will automatically log you in.
We strive to provide you with The Application that works on other platforms and for every website, so if your platform or website is not recognized, please contacts us at https://go.eset.com/supportform and we will let you know if it will be available soon for your platform or website.
By downloading The Application, you understand and expressly agree that The Application logo - ESET Password Manager logo (box) will be installed and will appear on your browser or your mobile OS in order to quickly access The Application.
Digital Identity Management
The Application is a digital identity management service that gives you the ability to save your passwords, login credentials, frequently visited websites and favorite websites by storing all passwords, notes and form-filling data. All the data you choose to save in The Application will be encrypted on your device using a master password that only you know. You only need to remember this master password to open your Application and decrypt your encrypted data on your device. After being encrypted on your device such data will be sent to Storage (as defined in Article 2) in an encrypted format through a secure connection in order to enable synchronization with your other devices. The Application never stores your master password on any server so your passwords cannot be retrieved by anyone but you.
2. Prohibited Acts
You may not use The Application and The Services to operate any mission-critical application where human life or property may be at stake. You understand that The Application and The Services are not designed for such purposes and that its failure in such cases could lead to death, personal injury, or severe property or environmental damage for which ESET is not responsible.
THE APPLICATION AND THE SERVICES ARE NOT DESIGNED, INTENDED OR LICENSED FOR USE IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE CONTROLS INCLUDING, WITHOUT LIMITATION, THE DESIGN, CONSTRUCTION, MAINTENANCE OR OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, AND LIFE SUPPORT OR WEAPONS SYSTEMS. ESET SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF FITNESS FOR SUCH PURPOSES.
You may not use The Application and The Services in a manner that breaches these Terms of Use or the laws of the Slovak Republic or your jurisdiction. Specifically you may not use The Application and The Services to conduct or promote any illegal activities including uploading data of harmful content or content that might be used for any illegal activities or that in any way violates the law or the rights of any third party (including any intellectual property rights), including but not limited to any attempts to gain access to accounts in Storage (for the purposes of these Terms of Use "Storage" refers to the data storage space managed by ESET or a third party other than ESET and the user for the purpose of enabling synchronization and backup of user data) or any accounts and data of other Application or Storage users. If you violate any of these provisions, ESET is entitled to immediately terminate your usage of The Application and the Services and pass on to you the cost of any necessary remedy, as well as take any necessary steps to prevent you from further use of The Application and The Services without the possibility of refund.
You may not, and hereby represent, warrant and covenant that you will not permit or enable a third party to:
access or attempt to access The Application and The Services by any means other than through the Website or the Application or use automated tools to operate the Services (scripts, etc.); or
use The Application and The Services in a way that (or display, post, transmit or otherwise make available UGC (User-Generated Content) on or through The Application that) (i) is unlawful, infringing, harmful, threatening, tortious, defamatory, libellous, abusive, obscene, invasive of another's privacy, hateful, fraudulent or malicious; (ii) involves the sending of any virus, Trojan horse, worm, harmful code, shutdown mechanism or similar mechanism; (iii) promotes information that you know is false, misleading, or promotes illegal activities or conduct; (iv) solicits passwords, or personal identifying information for commercial or unlawful purposes from other users; (v) interferes with or disrupts The Application and The Services or any server or network involved with the operation of The Application and The Services; (vi) otherwise violates any local, national or other applicable law or regulation.
Sanctions
ANY USE OF THE APPLICATION AND THE SERVICES NOT SPECIFICALLY PERMITTED UNDER THESE TERMS OF USE IS STRICTLY PROHIBITED AND MAY RESULT, AT ESET'S DISCRETION, IN THE SUSPENSION OR TERMINATION OF YOUR ACCOUNT.

3. Usage Interruptions
Interruptions
You acknowledge that: (i) your access to and use of The Application and The Services may be suspended for the duration of any unanticipated or unscheduled downtime or unavailability of any portion or all of The Application and The Services for any reason, including as a result of power outages, system failures or other interruptions; and (ii) we shall also be entitled, without any liability to you, to suspend access to any portion or all of The Application and The Services at any time (a) for scheduled downtime to permit us to conduct maintenance or make modifications to it; (b) in the event of a denial of service attack or other attack on The Application or the occurrence of any other event that we determine, in our sole discretion, would constitute a risk to The Application, to you or to any of other users; or (c) in the event we determine that usage of The Application is prohibited by law or we otherwise determine that it is necessary or advisable to do so for legal or regulatory reasons (collectively, "Usage Interruptions").
No Liability
ESET shall have no liability whatsoever for any damage, liabilities, losses (including any loss of data or profits) or any other consequences that you may incur as a result of any Usage Interruption.
Notice of Interruption
To the extent possible, we will endeavor to post updates on ESET Support Sites regarding any Usage Interruption and resumption of usage following any suspension, but shall have no liability for the manner in which we may do so or if we fail to do so.
System Requirements
Your use of The Application and The Services may be affected by the performance and compatibility of your hardware, software and Internet access. Meeting system requirements is your responsibility.
Hosting
ESET will use reasonable commercial efforts to ensure that the Server(s) are linked to the Internet on an ongoing basis, subject to the provisions hereof, including without limitation, provisions dealing with maintenance, backups and system availability.
System Availability
ESET will use reasonable commercial efforts to make The Application and The Services available online to end-users 24 hours a day and 7 days a week, through a link to the Server(s), with maximum uptime availability in accordance with the SLA of our service provider.
4. Security
Your Responsibility
You understand and agree that you are solely responsible for maintaining the confidentiality of your Account Information (including your master password) and for restricting access to your hardware device while logged into the Website or using The Application. You agree to accept responsibility for all activities that occur under your account or from your hardware device.
We endeavor to use reasonable security measures to protect against unauthorized access to your account. We cannot, however, guarantee absolute security of your account or the personal information we collect, and we cannot promise that our security measures will prevent third-party "hackers" from illegally accessing The Application or its content. You agree to immediately notify ESET of any unauthorized use of your account, or any other breach of security at https://go.eset.com/supportform and you accept all risks of unauthorized access to The Application, your Account Information and any other information you provide to ESET and hereby unconditionally relieve ESET of any liability in that respect.
Disclaimer and Indemnity concerning End User Account
ESET will not be responsible for any losses arising out of the unauthorized use of your account and you agree to indemnify and hold harmless ESET, its Affiliates, its shareholders, officers, directors, agents, employees, partners and/or licensors, as applicable, for any improper, unauthorized or illegal use of your account.
5. Cancelling & Termination of Your Account

You can cancel your account at any time by contacting https://go.eset.com/supportform with your request, or use the option inside of the application settings.
Termination by ESET
ESET may terminate your account immediately in the event of breach or violation of these Terms of Use by you.
End of Life
All products and services are eventually discontinued ("End of Life"). The decision to cease distribution and support of a product or service may be based upon a number of factors, including changes in technology, licensing and support considerations, declining consumer demand, and/or the availability of a newer product with more advanced features. In advance of ending distribution and support for The Application and/or The Services, we will provide all users with advance notice of the End of Life of the product by emailing users at the email address associated with their account and/or posting such notice on the website. You will be able to continue to use The Application until the later of: (i) the End of Life Date, or (ii) the last day of the current term (as of the date End of Life notice is posted or emailed) of an auto-renewed subscription, where applicable.
Surviving Obligations
All provisions of these Terms of Use which by their nature should survive expiration or termination of your account, use of The Application and The Services shall survive the expiration or termination of your account, use of The Application and The Services, including, without limitation, intellectual property provisions, warranty disclaimers, indemnity and limitations of liability. Termination of your access to and use of The Application and The Services shall not relieve you of any obligations arising or accruing prior to such expiration or termination or limit any liability which you otherwise may have to ESET, including without limitation any indemnification obligations contained herein.
Uninstall
To uninstall The Application, simply remove it from your browser.
Any information that you would like to retain from the database must be exported prior to uninstalling The Application.
6. Intellectual Property
Grant of License
ESET grants you a non-exclusive, non-transferable, revocable and time-limited license to access and use The Application in accordance with the terms set forth in these Terms of Use ("The License"). The Application and The Services are made available to you for your personal, non-commercial use only. You need to obtain our permission if you want (i) to sell, distribute, license or in any other way exploit, in whole or in part, The Services, or The Application or any information or software associated with them or (ii) to modify or create derivative works from The Application, in whole or in part.
Reservation of Rights
ESET reserves all right, title and interest not expressly granted under The License to the fullest extent possible under applicable laws. You may not sublicense, assign, or transfer The License granted to you under these Terms of Use, and any attempt to sublicense, assign, or transfer any part of your rights under these Terms of Use is void.
Trademarks & Copyright
All trademarks (registered or not), service marks, graphics, and logos (collectively, the "Trademarks") used in The Application and The Services, or in connection with The Application and The Services, are trademarks of ESET. The Application may also contain third-party trademarks, service marks, graphics, and logos (collectively, the "Other Trademarks"). The Other Trademarks remain the property of their respective owners.
All content displayed through The Application as well as all the software (including any source code) used in connection with the Services is the exclusive property of ESET or third parties and is protected by copyright laws.
No License
Nothing appearing on The Application will be construed as granting you any license, right, title or interest relating to the Trademarks, the Other Trademarks or other intellectual property used in connection with The Application and The Services (collectively, the "Intellectual Property") and the Intellectual Property remains the exclusive property of ESET or respective owners. Except as stated herein, you agree not to display, copy, reproduce, use or distribute any Intellectual Property without our prior written consent. You also agree that you may not mirror any material content made available through The Application.
Ownership
ESET owns all rights to improvements, upgrades and fixes related to The Application and The Services ("Improvements") even in the event that any such improvements have been created based on feedback, ideas or suggestions submitted by you in any form. You will not be entitled to any compensation, including any royalties related to such Improvements.
7. Warranty, Disclaimers
"AS IS" BASIS / No Guarantee
THE APPLICATION IS PROVIDED "AS IS". NO WARRANTY OF ANY KIND IS EXPRESSED OR IMPLIED. THE DOWNLOAD OF THE APPLICATION AND ANY USE OF THE SERVICES ARE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR HARDWARE DEVICE, LOSS OF DATA OR ANY OTHER LOSS THAT RESULTS FROM THE DOWNLOAD OF THE APPLICATION AND/OR USE OF THE SERVICES. ESET IS NOT LIABLE FOR DATA LOSS, DAMAGES, LIMITATION OF SERVICE AVAILABILITY INCLUDING ANY DATA SENT BY THE APPLICATION TO EXTERNAL STORAGE FOR THE PURPOSE OF DATA SYNCHRONIZATION AND BACKUP. ENCRYPTING THE DATA USING THE APPLICATION DOES NOT IMPLY ANY LIABILITY OF THE ESET REGARDING THE SECURITY OF THAT DATA. YOU EXPRESSLY AGREE THAT THE DATA ACQUIRED, USED, ENCRYPTED, STORED, SYNCHRONIZED OR SENT USING THE APPLICATION CAN ALSO BE STORED ON THIRD PARTY SERVERS. IF ESET IN ITS SOLE DISCRETION SELECTS TO USE SUCH A THIRD PARTY STORAGE, WEBSITE, WEB PORTAL, SERVER OR SERVICE, ESET IS NOT LIABLE FOR THE QUALITY, SECURITY, OR AVAILABILITY OF SUCH A THIRD PARTY SERVICE AND TO NO EXTENT IS ESET LIABLE TO YOU FOR ANY BREACH OF CONTRACTUAL OR LEGAL OBLIGATIONS BY THE THIRD PARTY NOR FOR DAMAGES, LOSS OF PROFITS, FINANCIAL OR NON-FINANCIAL DAMAGES, OR ANY OTHER KIND OF LOSS WHILE USING THE APPLICATION. ESET IS NOT LIABLE FOR THE CONTENT OF ANY DATA ACQUIRED, USED, ENCRYPTED, STORED, SYNCHRONIZED, OR SENT USING THE APPLICATION OR IN STORAGE. YOU ACKNOWLEDGE THAT ESET DOES NOT HAVE ACCESS TO THE CONTENT OF THE STORED DATA AND IS NOT ABLE TO MONITOR IT OR REMOVE LEGALLY HARMFUL CONTENT.
Your Information
YOU ACKNOWLEDGE THAT YOUR SUBMISSION OF ANY INFORMATION VIA THE APPLICATION (INCLUDING BUT NOT LIMITED TO UGC) IS AT YOUR OWN RISK. ESET DOES NOT ASSUME ANY LIABILITY TO YOU WITH REGARD TO ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.

SOME OF THE CONTENT DISPLAYED THROUGH THE APPLICATION MAY INCLUDE MATERIALS THAT BELONG TO OR ARE PROVIDED BY THIRD PARTIES (INCLUDING, BUT NOT LIMITED TO UGC). YOU ACKNOWLEDGE THAT ESET ASSUMES NO RESPONSIBILITY FOR SUCH CONTENT, PRODUCTS AND/OR SERVICES.
Discontinuance Disclaimer
WITHOUT PRIOR NOTICE, ESET MAY MODIFY, SUSPEND, OR DISCONTINUE ANY ASPECT OR FEATURE OF THE APPLICATION AND THE SERVICES OR YOUR USE OF THE APPLICATION AND THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ESET, ITS AFFILIATES, DIRECTORS, SHAREHOLDERS, AGENTS, LICENSORS AND EMPLOYEES BE LIABLE FOR ANY LOST PROFITS, REVENUE, SALES, DATA OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, PROPERTY DAMAGE, PERSONAL INJURY, INTERRUPTION OF BUSINESS, LOSS OF BUSINESS INFORMATION OR FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, ECONOMIC, COVER, PUNITIVE OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED AND WHETHER ARISING UNDER CONTRACT, TORT, NEGLIGENCE OR OTHER THEORY OF LIABILITY, ARISING OUT OF THE USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF ESET, ITS AFFILIATES, DIRECTORS, SHAREHOLDERS, AGENTS, LICENSORS AND EMPLOYEES ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE SOME COUNTRIES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF LIABILITY, BUT MAY ALLOW LIABILITY TO BE LIMITED, IN SUCH CASES, THE LIABILITY OF ESET, ITS AFFILIATES, DIRECTORS, SHAREHOLDERS, AGENTS, LICENSORS AND EMPLOYEES SHALL BE LIMITED TO THE SUM THAT YOU PAID FOR THE LICENSE.
Indemnity
YOU WILL INDEMNIFY, DEFEND AND HOLD ESET, ITS AFFILIATES, DIRECTORS, SHAREHOLDERS, AGENTS, LICENSORS AND EMPLOYEES HARMLESS WITH RESPECT TO ANY SUITS, CLAIMS OR DEMANDS (INCLUDING REASONABLE LAWYERS' FEES) ARISING OUT OF (I) YOUR BREACH OF THESE TERMS OF USE; (II) ANY DAMAGES BY YOU OR YOUR USE OF THE APPLICATION AND/OR THE SERVICES CAUSED TO ESET OR A THIRD PARTY; OR (III) YOUR USE OR MISUSE OF THE APPLICATION AND/OR THE SERVICES, INCLUDING ANY AND ALL THIRD-PARTY (INCLUDING OWNERS OF THE DEVICE OR PARTIES WHOSE RIGHTS WERE AFFECTED BY THE DATA USED IN THE APPLICATION OR IN STORAGE) CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, EXPENSES, FEES THAT SUCH PARTIES MAY INCUR AS A RESULT OF YOUR USE OF THE APPLICATION AND/OR THE SERVICES.
IF THE PROVISIONS IN THIS ARTICLE ARE VOID FOR ANY REASON OR ESET IS DEEMED LIABLE FOR LOSSES, DAMAGES ETC UNDER APPLICABLE LAWS, YOU AGREE THAT ESET‘S LIABILITY TO YOU WILL BE LIMITED TO THE TOTAL AMOUNT OF LICENSE FEES PAID BY YOU.
9. Privacy Policy
Your use of The Application and The Services is also subject to ESET's Privacy Policy (the "Privacy Policy"), which is incorporated by reference and made a part of these Terms of Use. It is important that you read and understand the terms of our Privacy Policy.
10. Data in The Application and/or Services
All data entered by you that is saved into The Application database is stored in encrypted format on your computer, or other storage device as defined by you. You understand that in the case of deletion of, or damage to, any Application database or other files, all the data contained therein will be irreversibly lost and you understand and accept the risk of such loss. The fact that your personal data is stored in encrypted format on the computer does not mean that the information cannot be stolen or misused by someone who discovers the Master Password or gains access to the customer-defined activation device for opening the database. You are responsible for maintaining the security of all access methods.
Transmission of Personal Data to ESET or Storage
For the purpose of ensuring timely data synchronization and backup, The Application transmits or sends personal data from The Application database - namely passwords, login information, Accounts and Identities - over the Internet to Storage. Data are transmitted exclusively in encrypted form. The use of The Application for filling in online forms with passwords, logins or other data may require that information be sent over the Internet to the website identified by you. This transmission of data is not initiated by The Application and therefore ESET cannot be held responsible for the security of such interactions with any website supported by various providers. Any transactions over the Internet whether or not in conjunction with The Application is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data resulting from the download and/or use of any such material or service. To minimize the risk of losing valuable data, ESET recommends that customers perform periodic backup of the database and other sensitive files to external drives. ESET is not able to provide you with any assistance in recovering lost or damaged data. If ESET provides backup services for user database files in case of damage or deletion of the files on users‘ PCs, such backup service is without any warranty and does not imply any liability of ESET to you whatsoever.
Your browsing activity on the Internet is NOT monitored in any way by The Application. As such, The Application DOES NOT collect, nor does it send, information about sites that you have visited or any information about your browsing history to any entity. Some versions of The Application may support user identification of websites and programs that you, the user, are able to bring to the attention of ESET by submitting through the designated tool within the GUI; no such information is submitted without your click-thru confirmation indicating your approval to submit the website or program name. Such submitted information is typically used to enhance the functionality of The Application.
By using The Application, you agree that the Application may contact ESET servers from time to time in order to check for the License information, available patches, service packs and other updates that may improve, maintain, modify or enhance the operation of The Application. The Application may send general system information related to the functioning of The Application.
11. Use of Aggregate Data
We and our affiliates may use data about your account, data that you provide to us in response to surveys or questionnaires, and data that you provide to us as feedback, anonymized and aggregated with data about other users in such a way that neither you nor any other user is identified, to help us improve our Products and Services and in communications about our Products and Services.
12. General
No Partnership
No agency, partnership, joint venture, or employment is created between you and ESET as a result of these Terms of Use and you do not have any authority of any kind to bind ESET in any respect whatsoever.
Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the Slovak Republic. You and ESET hereby agree that the principles of the conflict of laws and the United Nations Convention on Contracts for the International Sale of Goods shall not apply. You expressly agree that any disputes or claims ensuing from these Terms of Use with respect to ESET or any disputes or claims relating to use of The Application and The Services shall be settled by Bratislava I District Court, Slovak republic and You expressly agree to the said court exercising jurisdiction.
Licensing for public authorities and the US Government
The Application shall be provided to public authorities, including the United States Government, with the license rights and restrictions described in these Terms of Use.
Export and re-export control
The Application, the Documentation or components thereof, including information about the Software and components thereof, shall be subject to import and export controls under legal regulations which may be issued by governments responsible for issue thereof under applicable law, including US Export Administration Regulations, and end-user, end-use and destination restrictions issued by the US Government and other governments. You agree to comply strictly with all applicable import and export regulations and acknowledge that You have the responsibility to obtain all licenses required to export, re-export, transfer or import the Software.
Severability
If any of the provisions of the Terms of Use or their application is found to be invalid under any applicable statute or rule or law, they are, to that extent, deemed omitted and the validity of the other provisions of the Terms of Use will not be affected.

Language
These Terms of Use and the Privacy Policy are to be drawn up in the English language and/or other language localizations solely at ESET’s discretion.
13. Payment
You may select the usage of The Application and/or the Services for the duration of the term selected and choose the applicable frequency of payment. ESET reserves the right to correct any errors in pricing or other related information and to modify the prices, at any time and without prior notice.
14. Automatic Renewal
Effective Term. Unless terminated earlier, the Terms of Use is effective for the subscription term set forth in the Documentation. If no term is agreed to, the default term is one year from the date you buy the License or other term as provided solely at ESET’s discretion.
Renewal Notices. To the extent required by law, when your term is close to expiring, we will send notices to the e-mail address you provided when you subscribed. If you automatically renew your subscription of one year or more, we will notify you of the pending charge for renewal and confirm that your subscription has been renewed.
Automatic Renewal and Its Effects. If you have given us a valid credit-card number or an alternative payment method, we will automatically charge you and renew your subscription for another term when each term expires. The fee will not exceed the current price, excluding promotional and discount pricing. The new term will be the same length as the expired term unless otherwise specified by us at the time of renewal. We will inform you of your account status and any changes to the terms and conditions of your subscription in accordance with local law.
15. Technical support
ESET or third parties commissioned by ESET shall provide technical support to The Application at their own discretion, without any guarantees or declarations. You shall be required to back up all existing data, software and program facilities prior to the provision of technical support. ESET and/or third parties commissioned by ESET cannot accept liability for damage or loss of data, property, software or hardware or loss of profits due to the provision of technical support to The Application. ESET and/or third parties commissioned by ESET reserve the right to decide that resolving the problem is beyond the scope of technical support. ESET reserves the right to refuse, suspend or terminate the provision of technical support at its own discretion.
